BYLAWS
ARP Women's Ministries
January, 2004
Article I - Quorum
Section A. A quorum shall be defined as 50% plus one of the current voting membership at the Women's Ministries Annual Meeting.
Section B. Seven members shall constitute a quorum for the Women's Ministries Board.
Article II - Amendments
Section A. These Bylaws may be amended at any Annual Meeting by a two-thirds vote of those present and voting, provided notice of the proposed amendment has been submitted in writing to the Women's Ministries Board and Presbyterial Executive Boards thirty (30) days prior to voting.
Article III - Representation
The voting body of this organization shall consist of the board members as listed in Article IV of the Constitution, Ex-WSU Presidents/WMB Presidents, Chairmen of Standing Committees and the following from each Presbyterial organizations: President, Treasurer and four other delegates. If those designated as delegates are not able to attend, they may be allowed an alternate with voting privileges. The alternate for President shall be Vice President. The alternate for Treasurer shall be a Presbyterial Board Member.
Article IV - Nomination, Election, Term of Office
Section A. A Nominating Committee consisting of three members, no one of whom may be a member of the WMB, shall be appointed by the WMB President and shall report to the WMB Spring meeting and to the Annual Meeting.
(1)Names of prospects for the Nominating Committee shall be suggested to the WMB President at the spring meeting of the Women's Ministries Board, from which list she shall, if possible, secure this committee from different areas of the denomination.
(2)In the event those suggested do not accept, she shall have authority to complete the Nominating Committee.
Section B. Nominees for Vice President shall have previously served as a voting member of the Women's Ministries Board or the WSU Executive Board.
Section C. After nominations from the Nominating Committee and from the floor (with prior consent), the election shall proceed by ballot if there is more than one nominee for an office; otherwise, by acclamation. A majority of votes cast constitutes an election.
Section D. Term of Service
President/Vice President Four year term, not eligible for reelection. Serves first year as Vice President, next two years as President fourth year of term as Vice President.
Secretary Two year term, eligible for reelection.
Treasurer Four year term, eligible for reelection.
Spiritual Life Chairman Two year term, not eligible for reelection.
Missions and Outreach Chairman Two year term, not eligible for reelection.
Historian Two year term, eligible for reelection
Section E. Newly elected members shall assume office in September following their election. Those retiring shall complete the business of the year's work and shall surrender to their successors all books and papers pertaining to their office.
Section F. Members appointed to fill vacancies shall serve to the end of the term and may be reelected for a full term.
Article V. - Board Members
Section A. General members shall be those listed in Article IV A. of ARP Women's Ministries Constitution.
Other members shall be those listed in Article IV B. of ARP Women's Ministries Constitution.
The ARP Women's Ministries Administrator shall serve as an advisory member.
Article VI - Standing Committees
Section A. There shall be the following Standing Committees:
Spiritual Life Committee
Missions and Outreach Committee
Finance Committee
Historical Library Committee
Conference Committee
Nominating Committee
Synodical Hall Committee
Synod Social
Article VII -Special Committee(s):
Section A. As deemed necessary by the WMB President.
